These Terms and Conditions ("Terms") govern your access to and use of 123easy.biz, 123ez.biz, and all related or derivative domains owned or operated by us (collectively, the "Services"). By accessing or using the Services, you agree to be legally bound by these Terms.
We provide website hosting infrastructure, eCommerce platforms, software tools, APIs, integrations, and related technology services. We are a technology and infrastructure provider only. We are not the merchant of record and do not sell, offer, or fulfill products or services on behalf of our customers.
The Services may support headless configurations, including WordPress or other CMS frontends communicating with remote cart, checkout, or payment systems via APIs, iframes, tokens, or secure messaging. PCI-sensitive payment processing occurs only within isolated, PCI-compliant production environments.
WordPress, plugins, themes, extensions, and other third-party software used in connection with the Services are installed, configured, and maintained by customers or third parties. Such systems may be hosted outside our PCI-compliant production servers.
We do not control, manage, audit, or warrant the functionality, security, availability, compatibility, or performance of WordPress or third-party software. We are not responsible for outages, data loss, security incidents, software conflicts, failed updates, loss of time, loss of revenue, business interruption, or damages arising from WordPress installations or third-party hosting environments.
You retain ownership of all content, data, and materials hosted or transmitted through the Services. You are solely responsible for compliance with all applicable laws, including but not limited to consumer protection, privacy, data protection, tax, and payment card industry (PCI) requirements.
Fees are billed in advance unless otherwise stated. Failure to pay may result in immediate suspension or termination of Services. Fees are non-refundable except where required by law.
All eCommerce transactions occur solely between you and your customers. You are fully responsible for product listings, pricing, fulfillment, refunds, disputes, chargebacks, customer communications, and regulatory compliance.
The Services are provided on an "as available" and "as is" basis. We do not guarantee uptime, uninterrupted availability, or error-free operation. Maintenance, updates, abuse mitigation, or circumstances beyond our control may result in service interruptions.
We may suspend or terminate access to the Services immediately for violations of these Terms, non-payment, legal risk, or security concerns. Data retention following termination is not guaranteed. And we reserve the right to refuse service to anyone without notice.
All platform software, systems, documentation, and trademarks remain our exclusive property or that of our licensors. No rights are granted except as expressly stated.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR TIME, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify, defend, and hold us harmless from any claims, liabilities, damages, losses, or expenses arising from your use of the Services, Customer Content, or violation of these Terms.
The Services are operated as a privately owned business. Nothing in these Terms shall be construed to create a partnership, joint venture, fiduciary duty, or agency relationship. You acknowledge that use of the Services involves inherent technical and business risks which you voluntarily assume.
These Terms shall be governed by and construed in accordance with the laws of the United States and the applicable jurisdiction of our principal place of business, without regard to conflict of law principles.
We reserve the right to modify these Terms at any time. Continued use of the Services constitutes acceptance of the revised Terms.
